License

This license agreement ("Agreement") is entered into between Digital Elpis FZ-LLC ("we", "us") and the individual or entity ("you") that purchases the TurboRocket starter kit, subscribes to Evergreen, books a Support Hour, or engages a 1-Week Sprint (together, the "Services").

1. License Grant

Upon receipt of full payment, we grant you a perpetual, worldwide, non-exclusive, non-transferable license to use, modify, and deploy the TurboRocket source code (the "Kit") in an unlimited number of commercial or non-commercial end-user applications that you or your organization owns and operates.

2. Prohibited Use

• You may not redistribute, resell, sublicense, or publish the Kit, in whole or in part, as a standalone product or template — whether free or paid.
• You may not use the Kit to create a competing boilerplate, starter kit, or template-as-a-service offering.
• You may not share your access credentials or the downloaded Kit files with any third party outside your purchasing organization.

3. Evergreen Subscription

Evergreen ($20/month) entitles you to ongoing updates, dependency upgrades, migration notes, and changelog access for as long as your subscription is active. Cancellation is effective at the end of the current billing period. You retain all rights to any version of the Kit you downloaded while subscribed; cancellation only stops future updates.

4. Support Hour

A Support Hour ($149) entitles you to one 60-minute live consultation with us, scheduled via the booking link provided after payment. If during that call we determine the issue is a defect in the Kit itself, the hour is refunded. Unused Support Hours do not expire.

5. 1-Week Sprint

A 1-Week Sprint ($5,000) is a fixed-price, fixed-scope engagement delivered over one calendar week. The specific scope is agreed in writing before payment, via a free 20-minute scoping call. All code we deliver during the Sprint is assigned to you under the same terms as Section 1.

6. Ownership

We retain all intellectual property rights to the original Kit source code, brand, documentation, and marketing materials. You own your modifications, derivative works, and any application you build on top of the Kit.

7. Refunds

Because the Kit provides immediate access to downloadable source code, all purchases of the Kit are non-refundable. If you believe the Kit does not function as described, email admin@turborocket.ai within 14 days of purchase and we will make it right. Evergreen subscriptions are non-refundable but may be cancelled at any time for no further charge. Support Hours and Sprints are non-refundable once scheduled.

8. Warranties and Disclaimer

The Services are provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Kit will meet your requirements or that its operation will be error-free.

9. Limitation of Liability

In no event will our total liability under this Agreement exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.

10. Termination

We may terminate this license immediately if you breach Section 2. Upon termination, you must cease use of the Kit and destroy all copies. Sections 6, 8, 9, and 10 survive termination.

11. Governing Law

This Agreement is governed by the laws of the United Arab Emirates. Disputes arising under this Agreement are subject to the exclusive jurisdiction of the courts of Ras Al Khaimah Economic Zone (RAKEZ).
